6. Quotations And Proposals

Unless otherwise stated:

  • Quotations are valid for the period mentioned in the quotation.
  • If no validity period is mentioned, the quotation remains subject to availability and price confirmation.
  • A quotation covers only the listed deliverables.
  • Additional features or work will be charged separately.
  • Verbal discussions are not part of the final scope unless confirmed in writing.
  • Prices may exclude taxes, advertising budgets, hosting, domains, licenses, printing and third-party charges.
  • Timelines begin after payment and receipt of all required information.

Mas Digital may withdraw or revise a quotation before it is accepted and paid.


7. Project Confirmation

A project is considered confirmed after one or more of the following:

  • Written acceptance of the quotation
  • Advance payment
  • Purchase-order confirmation
  • Approval through email or WhatsApp
  • Signing of a service agreement
  • Written instruction to begin work

Mas Digital is not required to reserve resources or begin work before project confirmation.


8. Payments

Payment terms will be stated in the quotation or invoice.

Unless otherwise agreed:

  • Advance payments must be received before work begins.
  • Remaining payments must be made according to agreed milestones.
  • Monthly services must be paid in advance unless a written postpaid arrangement applies.
  • Final files, credentials or website ownership may be withheld until full payment.
  • Third-party costs may require full advance payment.
  • Advertising budgets must be paid separately.
  • Bank, payment-gateway or currency-conversion charges are the client’s responsibility.
  • Applicable taxes may be added where required.

An invoice or payment request does not change the original project scope.


9. Late And Unpaid Amounts

If payment is delayed, Mas Digital may:

  • Pause the project
  • Stop ongoing services
  • Delay delivery or launch
  • Suspend website maintenance
  • Pause advertising management
  • Withhold source files or credentials
  • Remove access to unpaid deliverables where legally and technically possible
  • Revise the delivery schedule
  • Terminate the project after reasonable notice

The client remains responsible for completed work and committed third-party expenses.

Any restart after a prolonged delay may require a rescheduling or reactivation charge.


10. Postpaid Or Trial Offers

Any postpaid, preview-first or trial offer:

  • Applies only when confirmed in writing
  • May be limited to selected clients or services
  • Does not include third-party expenses unless stated
  • May require a refundable or non-refundable initial amount
  • Does not guarantee rankings, leads, sales or approval
  • May end automatically after the stated trial period

For SEO or Local SEO trials, early keyword movement does not guarantee a particular position or future ranking.


11. Client Responsibilities

The client must provide complete, accurate and timely information, including:

  • Business details
  • Contact information
  • Brand assets
  • Website content
  • Product or service information
  • Required images and videos
  • Account access
  • Domain and hosting access
  • Advertising-account access
  • Legal approvals
  • Feedback and approvals

The client is responsible for reviewing all details before publication.

Delays in providing information, payment, feedback or approval may extend the project schedule.


12. Client Content And Materials

When providing content, images, logos, videos, music, data or other materials, you confirm that:

  • You own them or have permission to use them.
  • They do not violate intellectual-property rights.
  • They are not unlawful, deceptive or defamatory.
  • They do not infringe privacy or publicity rights.
  • They are accurate where accuracy is required.
  • They may be used by Mas Digital for the agreed project.

You are responsible for claims arising from materials supplied by you.

Mas Digital may refuse content that appears unlawful, infringing, deceptive, harmful or inappropriate.


13. Website Development Terms

For website projects:

  • The number of pages and features will follow the approved quotation.
  • Responsive design does not mean identical appearance on every device.
  • Browser appearance may vary.
  • Content entry is limited to the agreed quantity.
  • Additional pages, products or features are chargeable.
  • Premium themes, plugins and licenses are subject to their providers’ terms.
  • Domain and hosting charges are separate unless included.
  • The client must renew domains, hosting, plugins and licenses when applicable.
  • Mas Digital is not responsible for expiry caused by the client’s failure to renew.
  • Website speed depends partly on hosting, plugins, media and third-party scripts.
  • Compatibility with future software updates cannot be permanently guaranteed.
  • Custom functionality outside the approved scope requires a new quotation.

The client must review the website before final approval and launch.


14. Website Handover And Ownership

Unless otherwise agreed:

  • Final website access is handed over after full payment.
  • Ownership applies only to custom work created and paid for.
  • Third-party themes, plugins, fonts, images and software remain subject to their licenses.
  • Mas Digital may retain backup or administrative access during the support period.
  • The client should change passwords after handover where appropriate.
  • Future maintenance is not included unless stated.
  • Migration to another provider may be chargeable.

Mas Digital may keep internal project records and non-confidential portfolio screenshots unless the client requests confidentiality in writing before publication.


15. Revisions

Each package includes only the stated number of revision rounds.

A revision means a reasonable change to an existing agreed design or deliverable. It does not include:

  • Changing the complete project direction
  • Replacing approved concepts
  • Adding new pages or features
  • Rewriting all content
  • Creating a new logo concept after approval
  • Changing the target audience or campaign objective
  • Rebuilding completed work
  • Repeated changes caused by changing instructions

Additional revisions are chargeable.

Revision requests should be provided together and clearly explained.


16. Approvals

Approval may be provided through:

  • Email
  • WhatsApp
  • Project-management tools
  • Signed documents
  • Confirmation during a recorded or documented meeting
  • Payment of the relevant milestone

Once a stage is approved, later changes may require additional payment and time.

The client is responsible for checking spelling, phone numbers, prices, links, legal statements and factual information before approval.


17. Project Timelines

Any delivery date is an estimate unless explicitly guaranteed in writing.

Timelines depend on:

  • Scope and complexity
  • Client response time
  • Availability of content
  • Number of revisions
  • Third-party services
  • Platform approval
  • Technical issues
  • Payment schedule
  • Events outside our reasonable control

Mas Digital is not responsible for delays caused by missing information, delayed feedback, third-party providers or client-requested changes.


18. Inactive Projects

A project may be treated as inactive when the client does not provide required feedback, content, approval or payment for an extended period.

For inactive projects, Mas Digital may:

  • Pause work
  • Reassign project resources
  • Revise the completion date
  • Charge a restart fee
  • Archive project files
  • Close the project after notice

Payments already made remain subject to the Refund and Cancellation Policy.


19. Search Engine Optimization

SEO and Local SEO involve optimization, research, content, technical work and ongoing monitoring.

The client acknowledges that:

  • Search engines control their own ranking systems.
  • Rankings may change without notice.
  • No specific position can be guaranteed.
  • Results depend on competition, website condition and market factors.
  • SEO normally requires consistent long-term work.
  • Temporary ranking movement may occur.
  • Competitor activity can affect performance.
  • Search-engine updates may affect results.
  • New websites may take time to build visibility.

Mas Digital does not guarantee first-page rankings, first position, fixed traffic or a fixed number of enquiries.


20. Google Business Profile And Local SEO

Google controls Google Business Profile and Maps services.

Mas Digital is not responsible for:

  • Profile suspension by Google
  • Reverification requirements
  • Rejected edits
  • Duplicate listings
  • User-generated changes
  • Removed reviews
  • Map-location changes
  • Competitor spam
  • Ranking variation caused by searcher location

The client must provide accurate business information and cooperate with verification requirements.

Reviews must come from genuine customers. Mas Digital does not create or purchase fake reviews.


21. Social Media Marketing

For social media services:

  • Content quantity follows the selected package.
  • Content is published after approval where approval is required.
  • Unused monthly deliverables may not automatically carry forward.
  • Platform algorithms and reach may change.
  • Organic growth is not guaranteed.
  • Follower numbers, engagement, leads and sales are not guaranteed.
  • Account restrictions imposed by a platform are outside our control.
  • The client must provide timely offers, product information and approvals.
  • Paid promotions are separate unless included.

Mas Digital may refuse misleading, unlawful or platform-prohibited content.


22. Google And Meta Advertising

Advertising-management fees do not include the advertising budget unless explicitly stated.

The client acknowledges that:

  • Ad spend is normally paid directly to the platform.
  • Advertising results cannot be guaranteed.
  • Cost per click and cost per lead may change.
  • Platforms may reject, limit or suspend advertisements.
  • Account verification may be required.
  • Campaign performance depends on the offer, budget, audience and landing page.
  • Tracking may be affected by browsers, cookies and privacy settings.
  • Leads may not always be genuine or commercially suitable.
  • The client is responsible for sales follow-up.

Mas Digital is not responsible for platform charges, policy enforcement, account suspension or advertising losses caused by inaccurate client information.


23. Graphic Design And Branding

For design projects:

  • Concepts and revisions follow the selected package.
  • Preliminary or rejected concepts remain Mas Digital’s property.
  • Ownership of the approved final design transfers after full payment.
  • Source files are provided only where included.
  • Premium fonts, images and assets may require separate licenses.
  • Printing is separate unless included.
  • Colour appearance may vary between screens and printed materials.
  • The client must approve spelling, dimensions and print specifications.
  • Major changes after final approval require a separate quotation.

Mas Digital does not guarantee trademark availability or registration.

Clients should conduct an appropriate trademark search before adopting a final brand name or logo.


24. Content Writing

Where content writing is provided:

  • Content is created from information supplied by the client and available research.
  • The client must verify technical, medical, legal, financial or industry-specific claims.
  • Revisions are limited to the agreed scope.
  • Search rankings are not guaranteed.
  • The client is responsible for approving the final published content.
  • Legal-policy templates should be reviewed by a qualified lawyer.

Mas Digital does not provide legal, medical, financial or regulatory advice.


25. Third-Party Services

Projects may rely on third-party services, including:

  • WordPress
  • Hosting companies
  • Domain registrars
  • Themes and plugins
  • Google services
  • Meta services
  • Payment gateways
  • Email providers
  • Analytics platforms
  • Stock-image providers
  • Social-media platforms
  • Communication tools
  • Artificial-intelligence tools

Mas Digital does not control third-party availability, pricing, policies, updates or account decisions.

The client agrees to comply with the applicable third-party terms.


26. Third-Party Fees

Unless specifically included, the client is responsible for:

  • Domain registration and renewal
  • Hosting
  • Premium plugins
  • Theme licenses
  • Email hosting
  • Stock images and videos
  • Premium fonts
  • Payment-gateway charges
  • Advertising spend
  • Printing
  • Courier or travel expenses
  • Platform subscription fees
  • Tax and government charges

Third-party payments may be non-refundable once purchased.


27. Intellectual Property

MasDigital.co.in and its original content, graphics, branding, layouts and materials are owned by or licensed to Mas Digital.

You may not:

  • Copy substantial website content
  • Resell our designs without authorization
  • Remove copyright notices
  • Reproduce service descriptions for commercial use
  • Use Mas Digital branding without permission
  • Attempt to claim ownership of unpaid work
  • Distribute source files that were not included

Client ownership of deliverables begins only after full payment and remains subject to third-party licenses.


28. Portfolio Rights

Unless confidentiality is agreed in writing, Mas Digital may display completed non-confidential work in:

  • Social media
  • Sales presentations
  • Marketing materials

We will not intentionally publish confidential passwords, customer lists, private reports or sensitive account data.

Clients may request portfolio confidentiality before the work is published.


29. Confidentiality

Each party should protect confidential information received from the other party.

Confidential information does not include information that:

  • Is publicly available
  • Was already lawfully known
  • Is independently developed
  • Is received lawfully from another source
  • Must be disclosed by law

Where stronger confidentiality is required, the parties may sign a separate non-disclosure agreement.


30. Account Access And Security

The client is responsible for:

  • Providing correct access
  • Protecting passwords
  • Using secure authentication
  • Removing former users
  • Maintaining backup contact methods
  • Revoking access when no longer needed

Mas Digital will use account access only for the agreed services.

The client should avoid sending passwords through insecure channels and should change temporary credentials after handover.


31. Backups

Where backups are included, they are provided as a reasonable precaution and not as an absolute guarantee.

The client should maintain independent copies of:

  • Website files
  • Databases
  • Content
  • Brand assets
  • Reports
  • Source files
  • Account credentials

Mas Digital is not responsible for data loss caused by hosting failure, hacking, third-party actions or failure to maintain independent backups, except where liability cannot legally be excluded.


32. Support And Maintenance

Post-delivery support applies only for the duration and scope stated in the package.

Support may include fixing issues directly related to the delivered work. It does not automatically include:

  • New features
  • New pages
  • Content changes
  • Third-party incompatibility
  • Malware removal
  • Server administration
  • Plugin renewal
  • Website redesign
  • Issues caused by another developer
  • Client-made changes

Additional work will be quoted separately.


33. Cancellation By The Client

A client may request cancellation in writing.

Cancellation is subject to:

  • Work already completed
  • Resources reserved
  • Third-party expenses
  • Non-refundable deposits
  • Notice requirements
  • The applicable Refund and Cancellation Policy

Cancellation does not remove the obligation to pay for completed or committed work.


34. Termination By Mas Digital

Mas Digital may suspend or terminate services when:

  • Payments remain unpaid
  • The client breaches these Terms
  • The client provides unlawful instructions
  • The client abuses or threatens team members
  • Required information is intentionally withheld
  • Fraud or misuse is suspected
  • Continued work creates legal or reputational risk
  • Third-party platform access becomes unavailable
  • The client repeatedly fails to cooperate

Where reasonable, notice will be provided before termination.


35. Refunds

Refund eligibility is governed by the separate Refund and Cancellation Policy.

Generally:

  • Completed work is not refundable.
  • Approved work is not refundable.
  • Third-party purchases are not refundable.
  • Advertising spend is not refundable by Mas Digital.
  • Deposits may become non-refundable after work begins.
  • Customized digital services cannot normally be returned like physical goods.
  • Any approved refund may be reduced by work and expenses already incurred.

Nothing in these Terms limits rights that cannot legally be excluded.


36. Service Results

Mas Digital aims to provide professional services but does not guarantee:

  • A particular Google ranking
  • A particular Maps position
  • A fixed number of followers
  • A fixed level of engagement
  • A fixed number of leads
  • Sales or revenue
  • Advertising approval
  • Trademark registration
  • Uninterrupted website operation
  • Permanent compatibility with third-party platforms

Results depend on many factors outside Mas Digital’s control.


37. Limitation Of Liability

To the extent permitted by law, Mas Digital will not be liable for indirect, incidental, special or consequential loss arising from:

  • Lost profits
  • Lost business opportunities
  • Search-ranking changes
  • Advertising-platform decisions
  • Social-media restrictions
  • Third-party outages
  • Hosting failure
  • Client-supplied errors
  • Unauthorized account access
  • Delayed approvals
  • Unlawful client content
  • Business decisions based on reports or estimates

Where liability cannot legally be excluded, it will be limited in accordance with applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded.


38. Client Indemnity

To the extent permitted by law, the client agrees to protect Mas Digital against third-party claims arising from:

  • Client-supplied content
  • Intellectual-property infringement
  • False advertising claims
  • Unlawful products or services
  • Privacy violations caused by client instructions
  • Unauthorized use of customer data
  • Breach of platform rules
  • Failure to obtain required permissions

This provision does not apply where a claim is caused solely by Mas Digital’s unlawful conduct.


39. Force Majeure

Mas Digital will not be responsible for delays caused by circumstances beyond reasonable control, including:

  • Internet or power failure
  • Cyber incidents
  • Government restrictions
  • War or civil disturbance
  • Public-health emergencies
  • Platform outages
  • Hosting failure
  • Labour disruption
  • Supplier failure
